Welcome to Web and Digital Solutions. These Terms and Conditions (“Terms”) govern your use of our website (webanddigitalsolutions.ca) and the purchase of our professional services, including Web Design, SEO, AI Search Optimization, and Local SEO.
By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Scope of Services
Web and Digital Solutions provides digital marketing and web development services as outlined in your specific Service Agreement or Proposal. These may include:
- Web Design & Development: Custom builds, mobile optimization, and UI/UX design.
- SEO Services: Technical SEO, On-page/Off-page optimization, and Local SEO.
- AI Search Optimization: Future-ready optimization for AI-driven answer engines.
- Maintenance & Support: Ongoing security updates and performance monitoring.
2. Client Responsibilities
To ensure project success and meet timelines, the Client agrees to:
- Provide necessary access to website backends, Google Business Profiles, and analytical data.
- Supply content, images, and branding assets in a timely manner (within 10 business days of request).
- Review and provide feedback on deliverables within the agreed-upon timeframe.
- Note: Delays in providing assets or feedback may result in extended project deadlines.
3. Payment Terms
- Upfront Payments: Web design projects typically require a 50% deposit before work commences.
- Recurring Services: Monthly SEO and maintenance packages are billed in advance at the start of each billing cycle.
- Late Payments: Invoices unpaid after 30 days may incur a late fee of 1.5% per month. We reserve the right to suspend services or take down web content for accounts with significantly overdue balances.
4. Intellectual Property
- Client Content: You retain all rights to the text, images, and trademarks you provide.
- Our Work: Upon full payment of all project fees, ownership of the final website design and custom code is transferred to the Client. Web and Digital Solutions retains the right to use screenshots or links to the work in our portfolio and marketing materials unless a non-disclosure agreement (NDA) is in place.
- Software Licenses: Third-party plugins or software used may require ongoing license fees paid by the Client.
5. Guarantees and Disclaimers
- SEO Results: While we use “White Hat” ethical techniques and AI-ready strategies to boost rankings, we do not guarantee specific #1 rankings on Google. Search engine algorithms change frequently and are beyond our direct control.
- “As Is” Service: Services are provided on an “as is” and “as available” basis. We strive for 100% uptime and error-free code but do not warrant that services will be uninterrupted.
6. Limitation of Liability
- To the maximum extent permitted by law, Web and Digital Solutions shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business interruption, arising from the use of our services or website. Our total liability is limited to the amount paid by the Client for the specific service in question.
7. Termination
- Monthly Services: Either party may terminate monthly SEO or maintenance contracts with 30 days’ written notice.
- Project Termination: If a project is cancelled by the Client after work has begun, Web and Digital Solutions will retain the deposit and bill for any additional hours completed beyond the deposit amount.
8. Governing Law
- These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts located in London, Ontario.
